NOTICE
FIRST ANNUAL GENERAL MEETING
NOTICE IS HEREBY GIVEN that the Annual General Meeting of The Hong Kong Bird Watching Society Limited (“the Society”) will be held at 6:00 p.m. on 27th September 2003, Saturday, at the Conference Hall, Hong Kong Observatory, 134A Nathan Road, Kowloon, Hong Kong (note: no entry from the Observatory Road). The agenda is as follows:
1. Report of the Board of Directors on the activities of the Society (Chairman)
2. Report on the finance of the Society (Hon. Treasurer)
3. Report on the birds (Hon. Recorder)
4. Election of the Board of Directors(According to the Articles of Association, the first Board of Directors shall hold office until the conclusion of the second annual general meeting. Therefore there will be no election by voting at the first annual general meeting.) 5. Appointment of the auditor of the Society
6. Nomination of the Executive Committee(According to the Articles of Association, the Executive Committee is appointed by the Board of Directors. The Board will present its nominations and seek the views of the Annual General Meeting.) 7. Discussion on future directions of the Society
8. Any other business

Note : Only paid-up members are entitled to attend and vote at the meeting. Any member may appoint a proxy to attend and, on a poll, vote on his behalf; a proxy need not be a Member. The instrument appointing a proxy should be deposited at the Registered Office of the Company not less than 24 hours before the time fixed for holding the Meeting or adjourned Meeting.

第 一 屆 週 年 會 員 大 會
謹此通告香港觀鳥會有限公司(“本會”) 本年度的週年會員大會定於2003年9月27日(星期六)下午6時正，假座香港天文台會議廳舉行，地址是九龍尖沙咀彌敦道134A香港天文台(注意：不能從天文台道進入)。議程如下：
1. 董事會會務報告(會長)
2. 財政報告(義務司庫)
3. 鳥類報告(義務紀錄主任)
4. 董事會選舉(根據本會章程：第一屆董事任期至第二屆週年會員大會結束時，因此首屆週年會 員大會毋須進行投票選舉。) 5. 委任義務核數師
6. 執行委員會提名(根據本會章程，執行委員會由董事會委任，董事會將向大會提交提名名單及徵求 大會意見。) 7. 討論本會未來的動向
8. 其他事項

註: 只有已交會費的會員才享有參與週年會員大會及投票的權利。 如會員未能出席可授權一名代表人到場，在投票時代其投票，該名代表人毋須是本 會會員。 授權文件必須於會議舉行之前24小時送達本會註冊地址。
